1. Agreement to Terms

By accessing or using any services provided by Jakobsen Digital OÜ ("we", "us", or "our"), including but not limited to Vaerk (vaerk.app) and Parsus (parsus.app) (collectively, "the Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

2. Description of Services

Jakobsen Digital OÜ provides software-as-a-service products designed to help businesses and individuals manage their work more efficiently. Our Services include Vaerk, a time tracking, project management, and invoicing platform, and Parsus, a subscription management tool. The Services are provided on a "freemium" basis with optional paid features.

3. User Accounts

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access to your account

4. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Services or their systems
• Interfere with or disrupt the integrity or performance of the Services
• Upload or transmit viruses, malware, or other malicious code
• Use automated systems (bots, scrapers) to access the Services without permission
• Resell or redistribute the Services without our written consent
• Use the Services to store or transmit any content that infringes third-party rights

5. Subscription Plans and Billing

5.1 Free Plan: We offer free tiers with limited features on our Services. The free plans may have restrictions on usage and functionality.

5.2 Paid Plans: Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method automatically at the start of each billing period.

5.3 Price Changes: We may change our prices at any time. Price changes will be communicated to you at least 30 days before they take effect. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the new price.

5.4 Taxes: All prices are exclusive of taxes. You are responsible for any applicable taxes based on your location.

7. Intellectual Property

The Services, including their original content, features, and functionality, are owned by Jakobsen Digital OÜ and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our express written permission.

8. User Data

You retain ownership of all data you submit to the Services. By using the Services, you grant us a limited license to use, store, and process your data solely to provide and improve the Services. We handle your data in accordance with our Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may modify, suspend, or discontinue the Services (or any part of them) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. OUR SERVICES ARE PRODUCTIVITY TOOLS AND DO NOT GUARANTEE ACCURACY OF DATA, CALCULATIONS, OR OUTPUTS. WE ARE NOT RESPONSIBLE FOR ANY DISPUTES ARISING FROM YOUR USE OF THE SERVICES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAKOBSEN DIGITAL OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Jakobsen Digital OÜ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Services or violation of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Estonia.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Services after changes become effective constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
